Welcome to PrysM Tools (“PrysM”, “we”, “us”, “our”). These Terms of Service (the “Terms”) govern your access to and use of the prysm.tools website, the document editor, the REST API, PrysM Cloud and every associated service (together, the “Service”).
Acceptance of these Terms
By creating an account, calling the API, or otherwise using the Service, you agree to be bound by these Terms, by the Acceptable Use Policy and by the Privacy Policy, each of which forms part of this agreement. If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and “you” means that entity.
If you do not agree to these Terms, do not use the Service. If you transmit personal data of your own clients through the API, the Data Processing Agreement also applies and is incorporated by reference.
Eligibility. The Service is not directed at minors. You must be at least 18 years old, or the age of majority in your jurisdiction if higher, to create an account.
Description of the Service
PrysM is a document generation engine. It takes structured data, from a form in the browser or a JSON payload sent to the API, and renders it as a print-ready PDF using a headless browser. It can return that PDF directly, or store it in PrysM Cloud for later retrieval.
That is the whole of it. PrysM is a rendering and formatting tool. It is not accounting software, not a book of record, not an archiving system and not a payment processor.
No accounting, tax or legal advice
Read this before you invoice anyone
PrysM does not provide accounting, tax or legal advice, and nothing in the Service, the templates, the documentation or our support replies constitutes such advice. You are solely responsible for ensuring that every document you generate complies with the tax rules, accounting standards, mandatory particulars and retention obligations of your own jurisdiction and that of your counterparty.
Our templates include fields commonly required in Europe. Their presence is not a representation that a given document is legally valid, complete, or acceptable to any tax authority.
Invoice compliance and electronic invoicing
PrysM produces documents as PDF and, for businesses established in the European Union, structured electronic invoices: Factur-X (EN 16931) embedded in the PDF and, depending on the country, FatturaPA, RO e-Factura (CIUS-RO), FA(3) for KSeF, Peppol BIS Billing 3.0, XRechnung, ebInterface or Facturae. Optional connected apps can send these invoices to an accredited platform, a Peppol access point or a tax portal, using your own account with that provider.
Invoicing rules change, and following them is your responsibility
Invoicing and electronic invoicing rules differ from one country to another and change often: formats and their versions, mandatory particulars, deadlines, and who must issue and receive invoices through which channel. We work to keep what PrysM produces up to date, but we cannot guarantee that it meets every rule of every jurisdiction at every moment. You must regularly check the updates to the laws and rules that apply to you and to your customers in each country concerned, and adapt your settings, your documents and the way you send them whenever necessary.
PrysM is not an accredited electronic invoicing platform (such as a “plateforme agréée” in France), not a Peppol access point and not a tax intermediary, in any country. Where your jurisdiction requires invoices to be issued or received through such a platform, you must use one: PrysM can prepare your invoices and send them to it, but does not replace it.
It is your responsibility to determine whether the documents and files generated here satisfy your invoicing obligations, and to route your invoices through the channel the law requires.
No electronic signature
Documents generated by the Service are not signed within the meaning of Regulation (EU) 910/2014 (eIDAS). The Service applies no qualified, advanced or simple electronic signature, no timestamp with probative value, and no seal. Signature blocks in our templates are graphical placeholders for a handwritten or externally applied signature.
No guarantee of integrity over time
The Service does not provide the durable, unalterable archiving required by some tax and accounting regimes. Where your jurisdiction requires invoices to be retained for a fixed period in a form that guarantees authenticity and integrity, you must implement that archiving yourself.
Accounts, credentials and API keys
You agree to provide accurate registration information and to keep it current. You are responsible for all activity under your account.
- Credentials. You are responsible for maintaining the confidentiality of your password, session tokens and API secret keys. We will never ask you for your password or a full API key.
- API keys are server-side secrets. Keys must be kept on your own servers and must never appear in client-side code, browser bundles, mobile applications, public repositories, support tickets or screenshots. We store only the SHA-256 digest of a key and show the plaintext exactly once, at creation; a lost key cannot be recovered and must be revoked and replaced.
- Liability for leaked keys. PrysM is not liable for any unauthorised use, credit consumption, data disclosure or financial loss resulting from a key you exposed. Revoke a suspected key immediately from your dashboard.
- One account per entity. An account is for a single person or legal entity. You may not share credentials, create multiple accounts to enlarge a free allowance, or resell, sublicense or lease API access to third parties without our prior written agreement.
- Security incidents. Notify us at security@prysm.tools promptly if you become aware of any unauthorised access to your account or keys.
Plans and what each one includes
| Plan | What it is | Key limits |
|---|---|---|
| Free | Access to every template in the editor. | Exports carry the PrysM watermark. No API access. No cloud storage. |
| Single document | A one-time purchase that unlocks one specific document. | Permanently tied to that document ID. Not transferable to another draft. No cloud storage. |
| Premium | Monthly subscription for unlimited watermark-free exports. | No API credits. No cloud storage. |
| Cloud Pro, Business API, Scale | Monthly subscriptions that add the REST API and PrysM Cloud. | Monthly API credits and a stored-document ceiling, both stated on the pricing page for each tier. |
Quotas apply per billing period and are stated on the pricing page at the time of purchase. Unused API credits do not roll over and expire at the end of each period. We do not bill automatic overage: once a quota is exhausted the API refuses further requests until the period resets or you upgrade.
Billing, renewal and price changes
- Currency and taxes. Prices are displayed in euros. Unless stated otherwise, prices exclude value added tax and any other applicable tax, duty or levy, which will be added where required. Where you are a business established in another EU member state and supply a valid VAT identification number, the reverse charge mechanism may apply. You remain responsible for your own tax obligations, including any withholding required in your jurisdiction.
- Automatic renewal. Subscriptions renew automatically at the end of each billing period at the then-current price until cancelled.
- Cancellation. You may cancel at any time from your dashboard. Cancellation takes effect at the end of the current billing period; you keep access until then. We do not provide prorated refunds for partial periods.
- Payment processing. Payments are processed by Stripe Payments Europe, Ltd. Card details are entered directly into Stripe’s fields and are never received or stored by us. The amount shown at checkout before you confirm is the amount charged. An invoice is issued and emailed after every successful payment, and remains available from your subscription page. To protect cardholders, a payment may be asked for 3-D Secure authentication or a short human check, or paused for a limited time after suspicious activity.
- Upgrades. Upgrading takes effect immediately. The unused remainder of your current period is credited against the price of the new plan, prorated to the second, and the difference is charged straight away. The amount is shown before you confirm.
- Downgrades. Downgrading takes effect immediately; the unused remainder of your current period is credited against your next invoices. A downgrade may be refused where your stored document count exceeds the ceiling of the target plan. Reduce your stored documents first.
- Failed payment. If a payment fails we may retry it and will notify you. If it remains unpaid we may suspend paid features, and ultimately terminate the subscription. Cloud data is then handled under the retention rules below.
- Price changes. We may change prices. We will give at least thirty (30) days’ notice by email before a change applies to your subscription. If you do not accept it you may cancel before the change takes effect; continuing after that date is acceptance.
Digital content, withdrawal and refunds
You waive the 14-day right of withdrawal
The Service delivers digital content immediately. When you purchase a Single document unlock or start a subscription, you expressly request immediate performance of the contract and acknowledge that you lose your statutory 14-day right of withdrawal (Article L.221-28 of the French Consumer Code, implementing Article 16(m) of Directive 2011/83/EU) as soon as rendering begins or the watermark is removed, whichever is earlier.
This waiver is only effective if you gave that consent and acknowledgement before the purchase completed. It applies to consumers; business customers have no right of withdrawal in the first place.
When we do refund
Statutory rights of conformity are unaffected. Beyond those, we will refund a payment where the Service failed to deliver what you paid for because of a fault on our side, for example a charge taken for an export that never rendered and could not be re-run. Write to legal@prysm.tools within 30 days of the charge.
We do not refund: unused subscription time after a cancellation, unused API credits at the end of a period, Single document purchases once the document has been unlocked, or any amount on an account terminated for a breach of these Terms or the Acceptable Use Policy.
API limits, quotas and idempotency
- Rate limits. The API is rate-limited per key, currently 30 requests per 10 seconds, and subject to change. Exceeding the limit returns
429. Attempting to circumvent limits through multiple keys, multiple accounts, IP rotation or concurrency abuse is a breach of the Acceptable Use Policy. - Fair use. Every plan includes rendering time, concurrent renders, cloud storage and downloads within fair-use limits, sized well above normal use of that plan and described in the Acceptable Use Policy. A request beyond them returns
429and is not charged; sustained abuse is handled under that policy. - Quotas. Exceeding your monthly credit allowance returns
402. Credits are reserved before rendering and settled after it; a failed render releases its reservation. - Idempotency is your responsibility. For every billed request you must send an
Idempotency-Keyheader. If you do not, PrysM is not responsible for duplicate documents or duplicate credit consumption caused by network timeouts, proxy retries, client-side retry loops or bugs in your code. - Breaking changes. The API is versioned in its path. We may add fields and non-breaking behaviour at any time. Where we must make a breaking change we will introduce a new version and give at least 90 days’ notice before retiring the previous one, except where a shorter period is needed to address a security or legal issue.
PrysM Cloud, storage and retention
PrysM Cloud is not a backup service
Cloud storage exists so a generated document can be retrieved shortly after it is made. It is not a guaranteed backup, an archive, or a system of record. You must download and independently back up every document you need to keep. PrysM is not liable for loss, corruption or deletion of documents stored on our servers.
- Signed links. Stored documents are reached through time-limited signed URLs. Anyone holding a valid link can open the document. You are responsible for how those links are distributed; we are not responsible for access obtained through a link you shared, forwarded or leaked.
- Quotas. Storage is capped by plan. When the ceiling is reached, new documents are refused until you free space.
- Trash. Deleted documents move to a history area and are permanently purged after 24 hours. Purged data cannot be recovered.
- After a subscription ends. Cloud data is retained for 30 days after the paid period ends, so you can retrieve or export it. After that window it is irreversibly destroyed. You may also delete it immediately from your dashboard.
- Termination for cause. Where an account is terminated for fraud or a breach of the Acceptable Use Policy, the 30-day window does not apply and data may be deleted without further notice.
Acceptable use
Your use of the Service is subject to the Acceptable Use Policy, which prohibits, among other things, generating forged or fraudulent documents, attacking or abusing our rendering infrastructure, and using cloud storage as a general-purpose file host. A breach of that policy is a breach of these Terms.
Fraud and chargebacks
We operate a zero-tolerance policy on payment fraud. If you initiate a chargeback or dispute a valid charge with your bank or card issuer without first contacting legal@prysm.tools to resolve the issue, we reserve the right to:
- Terminate your account immediately and permanently.
- Revoke every active API key.
- Irreversibly delete all documents, templates and data held in PrysM Cloud.
- Refuse future registration from the same person, entity or payment instrument, and retain the minimum data necessary to enforce that refusal.
Nothing here prevents you from disputing a charge that is genuinely unauthorised or erroneous; it addresses disputes raised in place of contacting us.
Intellectual property
Ours
PrysM retains all rights in the Service: the software, the API, the website, the visual identity, the rendering templates and the documentation. Nothing in these Terms transfers any of it to you.
Your licence
We grant you a limited, revocable, non-exclusive, non-transferable right to use the Service, and to use the documents it generates for your own business purposes, for as long as your account is in good standing and you comply with these Terms. You may not resell, sublicense or white-label the Service, nor extract our templates for use outside it.
Yours
You retain all rights in the data you send us, names, addresses, amounts, line items, logos, and in the documents produced from it. You grant us only the limited, temporary right to process that data to render the document you asked for, to store it if you asked us to, and to keep the operational records described in the Privacy Policy.
Feedback
If you send us suggestions or feature ideas, you grant us a perpetual, irrevocable, royalty-free right to use them without obligation or attribution. Do not send us anything you consider confidential.
Copyright complaints
If you believe content generated or hosted through the Service infringes your rights, write to abuse@prysm.tools with enough detail to identify the work, the material, and your authority to act. We remove infringing material and terminate repeat infringers.
Your data and your obligations
When you send us personal data about third parties, your clients, tenants, employees, you act as the data controller and we act as your processor. You warrant that:
- You have a lawful basis for the processing and the right to transmit the data to us.
- You have given those people the information they are entitled to about the processing, including that a processor renders the document.
- You will not send us special categories of personal data (health, biometric, political opinions and the like), payment card numbers, or government identity numbers beyond the tax identifiers our templates provide for. The Service is not designed for them.
The full terms of that relationship are in the Data Processing Agreement.
Third-party services
The Service runs on infrastructure we do not own. Our hosting, database, storage and payment providers are listed on the Sub-processors page. An outage, change, price increase or security incident at one of them may affect the Service, and we are not liable for their acts or omissions beyond the diligence we owe in selecting and supervising them.
Availability, changes and support
- No uptime commitment. We do not offer a service level agreement on any plan. We aim for continuous availability and will not always achieve it.
- Maintenance. We may take the Service down for maintenance, with notice where reasonably practicable.
- Changes. We may add, modify or withdraw features. Where we withdraw a feature you rely on and pay for, we will give reasonable notice and, if you cancel as a result, refund the unused portion of your current period.
- Preview features. Anything we label as a preview or an experiment is provided as-is, may change or be withdrawn without notice, and is excluded from any commitment in these Terms.
- Support. Support is provided by email at legal@prysm.tools on a commercially reasonable basis. “Priority support” on paid plans means your ticket is placed ahead of free-plan tickets; it is not a guaranteed response time.
Suspension and termination
By you
You may stop using the Service and delete your account at any time from your dashboard. Deletion removes your account data and, subject to the retention rules above, your stored documents.
By us, for cause
We may suspend or terminate your access immediately and without notice where we reasonably believe you have breached these Terms or the Acceptable Use Policy, where your use threatens the security, integrity or availability of the Service or another customer, or where we are required to do so by law.
By us, without cause
We may terminate a free account, or decline to renew a paid one, on 30 days’ notice. In that case we refund the unused portion of any period already paid.
Effect
On termination your licence ends and your API keys stop working. Clauses that by their nature should survive, intellectual property, disclaimers, liability, indemnity, governing law, survive.
No warranties
The service is provided on an “as is” and “as available” basis. To the maximum extent permitted by applicable law, PrysM expressly disclaims all warranties of any kind, whether express, implied or statutory, including without limitation the implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the service will be uninterrupted, timely, secure or error-free, that generated documents will be free of defects, or that they will satisfy any legal, tax or accounting requirement applicable to you.
Some jurisdictions do not allow the exclusion of certain warranties. Where that is so, the exclusions above apply only to the extent permitted, and your mandatory statutory rights are unaffected.
Limitation of liability
To the maximum extent permitted by applicable law, in no event shall PrysM, its founders, employees, hosting providers or partners be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation loss of profits, loss of revenue, loss of data, loss of use, loss of goodwill, business interruption, or any other intangible loss, arising out of or in connection with (i) your access to, use of, or inability to use the service; (ii) the conduct or content of any third party on the service; (iii) any error, omission or inaccuracy in a generated document; or (iv) unauthorised access to your account, keys or documents.
In no event shall PrysM’s total cumulative liability to you for all claims arising out of or relating to these terms or the service exceed the total amount you actually paid to PrysM in the three (3) months immediately preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited. If you are a consumer, these limits apply only so far as the law allows, and your mandatory rights are unaffected.
Indemnification
You agree to indemnify and hold harmless PrysM, its founders and its personnel from and against any claim, demand, proceeding, loss, liability, damage, cost or expense (including reasonable legal fees) arising out of or related to: the content of the documents you generate; your breach of these Terms or the Acceptable Use Policy; your infringement of the rights of a third party; your breach of data protection law in respect of data you sent us; or any dispute between you and a recipient of a document you produced.
We will notify you of any such claim, allow you to control its defence with counsel of your choice reasonably acceptable to us, and cooperate at your expense. You may not settle a claim in a way that imposes an obligation or admission on us without our written consent.
Force majeure
Neither party is liable for a failure or delay in performance caused by an event beyond its reasonable control, including natural disaster, war, terrorism, civil unrest, epidemic, labour action, failure of a public network or utility, government action, or the failure of a third-party infrastructure provider. Payment obligations already accrued are not excused.
Export control and sanctions
You represent that you are not located in, and are not a national or resident of, a country or territory subject to comprehensive sanctions, and that you do not appear on any applicable restricted party list maintained by the European Union, France, the United Nations, the United Kingdom or the United States. You will not use the Service in breach of any applicable export control or sanctions law. We may refuse or terminate service where we reasonably believe this clause is breached.
Consumers in the European Union
If you use the Service as a consumer, outside any trade, business, craft or profession, you keep the mandatory protections of the law of your country of residence, and nothing in these Terms deprives you of them.
Before bringing any proceedings, please write to legal@prysm.tools. Most disputes are resolved that way, and we answer every message from a consumer within a reasonable time. Nothing in this clause prevents you from going to court if we cannot agree.
Changes to these Terms
We may update these Terms. For changes that materially affect your rights or obligations we will give at least 30 days’ notice by email to the address on your account and by updating the date at the top of this page. Continued use after the effective date is acceptance; if you do not accept, cancel before that date and we will refund the unused portion of your current period.
Changes required by law or needed to address a security issue may take effect immediately.
Governing law and jurisdiction
These Terms are governed by the law of France, without regard to its conflict of law rules. Any dispute arising out of or relating to them shall be submitted to the exclusive jurisdiction of the competent courts of France.
If you are a consumer resident in the European Union, this choice does not deprive you of the protection of the mandatory rules of your country of residence, and you may bring proceedings there.
Miscellaneous
- Entire agreement. These Terms, together with the Acceptable Use Policy, the Privacy Policy, the Cookie Policy and, where applicable, the Data Processing Agreement, are the entire agreement between us and supersede any prior understanding on their subject matter.
- Severability. If a provision is held invalid or unenforceable, it is limited or removed to the minimum extent necessary and the remainder stays in force.
- No waiver. A failure to enforce a provision is not a waiver of it.
- Assignment. You may not assign this agreement without our written consent. We may assign it to an affiliate or in connection with a merger, acquisition or sale of assets, on notice to you.
- Notices. We contact you at the email address on your account; keep it current. You contact us at legal@prysm.tools.
- No agency. Nothing here creates a partnership, joint venture, agency or employment relationship.
- Language. These Terms are published in English. Any translation is for convenience; the English text prevails, except where mandatory consumer law requires otherwise.
